Executive Summary
Levantine–Mediterranean healthy eating is a large and growing category in the United States, yet no single company owns it as a category. Our plan is to corporatize the work done since January 2026 into one investable platform that owns the standard, the brand, the production and the channels.
The platform in one line: 5th Table sets the standard → Ā Levantine operates → Ohanyan's labels → MSY's team produces → VMG grows. working decision
What has been built since January 2026
| Workstream | What exists today | Status |
|---|---|---|
| ABC Ventures (MSY market entry) | U.S. market report; Levantine Turkish Kitchen handbook in English; MOU (bilingual) and first Operating Agreement (bilingual) drafts; decision to form ABC Ventures Corp. as a Delaware corporation | Drafts ready; formation pending working decision |
| Ā Levantine | Two-layer name architecture; four production lines (meat, dairy, meze, bakery); channel vision (Meze Bars, retail, DTC); Action & Implementation Plan | Strategy set; first deal (Ohanyan's) in progress |
| 5th Table | Category seal + NGO concept; Levantine Council manifesto draft; Marketing & Growth Strategy | Concept; NGO not yet formed |
| Food Ventures (VMV) | Asset-buy-and-lease model; Ohanyan Chapter handed to Randall Cox; Azusa, CA facility identified | Chapter in Randall's hands |
| Facility pipeline | 5-day California road show plan (8 facilities across meat, dairy and meze lines); Riverside case study (now off the agenda at the asking price); Azusa offered by CBRE as benchmark | Tour planned for late October 2026; Azusa terms open |
| Panayır Global, Memedi's, SFS, Plaza Premium | Panayır Global phygital plan v3; Cultural Gifting brand work; Fine Goods From Anatolia catalog idea; lounge-channel concept | Separate ventures; used here as precedent and channel options |
Why now
- Mediterranean fast-casual has become a public-market investment category (VMA reading of Cava's listing; see 5th Table strategy).
- The two global benchmarks are moving toward the U.S.: Pret A Manger announced a JV to triple its U.S. business verified source, and DO & CO is reported to be planning significant U.S. growth secondary / unverified (Section 05).
- Ohanyan's gives a rare entry ticket: a USDA-inspected, ~40-year-old meat processor with a known name and distributor channels working decision — the legal route around U.S. meat import barriers for Turkish-style products.
The ask
| Party | What we ask |
|---|---|
| Randall Cox | Lead the Ohanyan Chapter to closing (form: purchase or strategic combination), and run the investor process for the platform round. |
| Monogram Capital Partners | Evaluate the platform as lead growth-equity partner at Tranche B (proof of channels), with an early look now. Monogram's stated criteria — consumer and retail brands, food & beverage and 4-wall/services in its sector list, companies of roughly $5M to $250M+ revenue, up to $50M+ equity per deal — fit the platform once it crosses the revenue floor verified source (monogramcapital.com). |
Three conditions before any number is locked
- Ohanyan's actual financials — all valuation work stays parametric until they arrive.
- The H&G family decision on whether to take an interest, after the family meetings.
- Azusa terms and USDA re-activation — lease vs. purchase, and the timeline to restart inspection.
