The Panayır Precedent
Panayır is the name we hold up as precedent: proof that a curated Turkish food selection can earn a premium, a disciplined way to grow it, and a model for how a seal of selection works.
1. Who Panayır is
Panayır Gourmet is a premium hybrid market–restaurant–café in Ataşehir, Istanbul, founded by Yaşar Yılmaz about 22 years ago, with a Göcek marina presence. It runs butcher, charcuterie, in-house smoked seafood, regional cheeses, meze, patisserie, coffee and a restaurant under one roof, on a delicious–healthy–non-GMO principle. Approximately $10 million of annual revenue from a single location and approximately 6,000 products management info (Panayır Global v3, Sections 1, 4 and Appendix G).
2. What the precedent proves — and how it transfers
| Panayır lesson | Transfer to the U.S. platform |
|---|---|
| The Seal. Nothing enters the Panayır selection without the Panayır Seal — approval under its selection, quality and shelf rules. | The 5th Table seal plays the same role at category level, but is issued by an independent NGO so that competitors can trust it. |
| Curation sells. A single location sustains a 6,000-product shelf because customers rebuy what survives the selection. | Start with a narrow, high-turn SKU list chosen from data; widen only after sell-through. |
| Gated, tranche-based growth. The v3 plan ties every store to the KPI gates of the city's delivery center and splits funding into three tranches. | The same three-tranche, gate-based structure is used in Section 08. |
| Phygital twin. A delivery center (Kiler) feeds DTC, restaurants, retail bars and stores from one stock. | The Azusa central kitchen feeds Meze Bars, Wellness Kitchen units, retail and DTC from one production base. |
| The name. "Panayır" (a fair, a market) is a Turkish word that carries meaning rather than a translation. | Ā Levantine and 5th Table follow the same rule: names that carry a story and own a category. |
3. The Panayır Playbook
The same sequence in every city: first the Kiler delivery center and the chef network, then the Mediterranean Bar and DTC, then the store. Every store decision is tied to the KPI gates of that city's center — monthly sales threshold, active restaurants, DTC customers and repeat-purchase rate. If the gates are not passed, the store is deferred a year and capital is preserved (v3, Section 8).
| Step | What opens | Gate to the next step | U.S. platform equivalent |
|---|---|---|---|
| 1 · Kiler | Delivery center (8,000–12,000 sq ft, 4–6 people) + chef network + DTC launch | Monthly sales, active restaurants, DTC customers | Azusa central kitchen + Ohanyan's lab + first foodservice accounts |
| 2 · Bar & shelf | Mediterranean Bar inside select retailers; select shelf; HoReCa pantry | Door economics; repeat-purchase rate | Meze Bar pilot + Wellness Kitchen pilots |
| 3 · Store | Flagship store ("Ataşehir twin"): market, restaurant, pantry, tasting | 12 months of real data before the next store | Flagship Mediterranean Chef counter / national retail listing |
| v3 calendar (realistic scenario) | Year 1 | Year 2 | Year 3 | Year 4 | Year 5 |
|---|---|---|---|---|---|
| Kiler centers | LA, SF, London, HK | + NY | 5 | 5 | 5 |
| Stores (opened at year-end) | — | LA | SF, NY | HK | London |
| Funding | Tranche 1: ~$3–4M | Tranche 2: ~$4–5M (after LA gates) | Tranche 3: ~$6–7M (SF, NY stores) | HK and London largely from operating cash | |
Year-5 channel mix in the plan: DTC 22%, HoReCa 15%, Mediterranean Bar and shelf 12%, stores 30%, airport lounges 19%, corporate 2% VMA assumption.
4. Yaşar Yılmaz and the Panayır Seal
In the Panayır Global plan, Yaşar Yılmaz — founder of Panayır Gourmet — is the Pantry-Keeper and Çeşnicibaşı: he owns the selection, the tray-meal signature and the quality signature, and he owns the Panayır Seal. All team members and partner brands named in the plan are recommendations to his selection; a brand without the Seal cannot enter the selection, and a role without the Seal cannot enter the structure (v3, Sections 3, 9 and Appendix G).
He is also one of the two "whispering masters" who sign the daily tray meals, together with Sayat Özyılmaz (chef-owner of Dalida, San Francisco) — the answer to "what shall I eat today?" is on the tray. This is the reverse of DO & CO's Flying Chefs: there the chef flies with the meal; here the tray selected by the masters travels to the city VMA assumption.
5. Launch, breakthrough and Turkish export supports
The Panayır plan splits the work: Panayır Gourmet carries the launch (capital, selection, sourcing, export and Türkiye incentives); the sponsor's Marketing Escalator role carries the breakthrough (structuring, funding, growth, branding, penetration and digital marketing).
| Support rule (Türkiye, Ministry of Trade) | What it means |
|---|---|
| Paid to the Turkish company | Overseas rent, promotion (social media, PR, pop-up), trademark registration, fairs and e-export costs; promotion rate 50%, rising to 70% in the U.S. and UK as target countries |
| Three conditions | Brand registered first in Türkiye in the exporter's name; products made in Türkiye; overseas companies at least 51% owned by the Turkish company or its shareholders |
| Two limits | Paid after spending (about 6–12 months later, in TL); annual promotion support cannot exceed half of that year's exports |
| Effect in the Panayır case | Supports collected in 24 months estimated at about $0.32–0.44M (base), reducing the 24-month equity need from ~$2.4–3.7M to ~$2.1–3.3M VMA assumption |

6. Brand and marketing modules (Fine Foods from Anatolia, CHESNI)
| Module | Key content | Use for the U.S. platform |
|---|---|---|
| Fine Foods from Anatolia — brand and market entry | Carrier brand + "Special Selection" quality tier; collection "Çeşnicibaşının Kileri"; endorsement "an Ohanyan's Selection" in the U.S. (only with the family's written consent) and "Selected in Istanbul by Panayır" elsewhere; three channels — DTC, select retail "Kiler capsules", 4–6-week pop-ups; "fiber" line: Istanbul → air cargo → local 3PL → door in 24–72 h | Endorsement and pop-up model; claim protection (organic / non-GMO / healthy only with certification) |
| CHESNI — the engine that carries the story | Five-layer marketing engine (content, earned media, community, creators, paid); realistic launch budget: LA flagship + HK B2B ~$1.1–1.8M in year 1, ~$2.5–3.8M over 24 months VMA assumption | Benchmark for Ā Levantine's consumer-launch budget — a lean budget buys a test, not a brand |
| CHESNI KPI gates (month 9) | CAC ≤ $70; repeat ≥ 25%; ≥ 2,000 DTC customers; ≥ 15 select doors; ≥ $50K monthly sales; below 70% of gates → no second tranche, fall back to B2B-first VMA assumption | Template for Tranche B gates (Section 08) |
7. The Panayır Global plan in numbers (for reference)
These are VMA projections for Panayır Global's five-city phygital plan, not for the U.S. food platform VMA assumption:
| Realistic scenario ($000) | Year 1 | Year 3 | Year 5 |
|---|---|---|---|
| Net sales | 1,447 | 23,943 | 85,620 |
| EBITDA | (2,666) | 3,862 | 23,302 |
| EBITDA margin | –184% | 16% | 27% |
Peak cumulative capital need is approximately $14.7 million in Year 3, funded in three tranches VMA assumption. Source: Panayır Global v3 (EN) · v3 (TR) · Plaza Alliance appendix.
8. What does not transfer
- Meat cannot largely be exported from Türkiye to the U.S.; the U.S. platform covers meat through Ohanyan's USDA-inspected production.
- Panayır's figures are management information and VMA projections; they are a method precedent, not a valuation comparable.
- Panayır Global is a separate venture. A supply link (Panayır's non-meat pantry into Ā Levantine channels) is a possible synergy, not an agreement.
